These Terms of Use ("Terms") govern your access to and use of robotcoinc.com and any content, functionality, or services offered on or through it (the "Website"), operated by Robotco Inc. ("Robotco", "we", "us", or "our").
Please read these Terms carefully. By accessing or using the Website, you accept and agree to be bound by them and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not access or use the Website.
1. Who May Use the Website
The Website is intended for businesses and for individuals acting in a professional capacity. By using it, you represent that you are at least 18 years old and that, where you submit information on behalf of a company, you are authorised to do so and to bind that company to these Terms.
2. Changes to These Terms
We may revise these Terms at any time. The revised version takes effect when posted, and the date at the bottom of this page will be updated. Your continued use of the Website after that point means you accept the revised Terms. Please check this page periodically.
3. Website Content Is Informational
Information on the Website, including equipment listings, specifications, photographs, availability, condition descriptions, lead times, and indicative pricing, is provided for general information only and may change without notice.
Nothing on the Website is an offer to sell, and no contract is formed by your use of the Website or by submitting a form. Specifications and photographs are illustrative. Equipment shown may be sold, reserved, or withdrawn at any time. Where we reproduce manufacturer data, we do so in good faith and are not responsible for errors in that data.
We try to keep the Website accurate and current, but we do not warrant that it is free of errors or omissions, and we reserve the right to correct any error, inaccuracy, or omission at any time.
4. Quotations, Orders, and Sales
Requests submitted through the Website, including quote requests, valuation requests, and service requests, are enquiries only. They do not create a binding order or reserve any equipment.
A quotation issued by Robotco is valid only for the period stated on it and is subject to prior sale and to confirmation of condition and availability. A binding contract arises only when Robotco accepts your order in writing, or issues an order acknowledgement or invoice.
Purchases, repairs, and field services are governed by Robotco's separate terms and conditions of sale or service, which are provided with the applicable quotation, order acknowledgement, or invoice. Where those terms conflict with these Terms, those terms govern the transaction. These Terms continue to govern your use of the Website.
5. Used, Surplus, and Refurbished Equipment
Much of the equipment we supply is used, surplus, or refurbished. Descriptions such as "tested under power", "reconditioned", or "like new" describe the work we performed and the condition observed at the time of inspection. They are not a warranty of future performance, of remaining service life, or of fitness for your application.
Except for a written warranty expressly issued by Robotco for a specific item, used, surplus, and refurbished equipment is supplied on an as-is basis. Any warranty we give is set out in the applicable terms and conditions of sale.
Serial numbers, hour meters, software versions, and configurations are reported as found. You are responsible for satisfying yourself, by inspection or otherwise, that equipment is suitable for your intended use before you buy.
6. Safety, Installation, and Regulatory Compliance
Industrial robots are hazardous machinery. You are solely responsible for the safe transport, installation, integration, guarding, programming, commissioning, operation, inspection, and maintenance of any equipment you acquire, and for compliance with all applicable laws, codes, and standards, including those published by OSHA, ANSI, and the Robotic Industries Association, and with the manufacturer's manuals and safety instructions.
Nothing on the Website is engineering, safety, or integration advice, and no information on the Website should be relied on in place of a qualified assessment of your application, cell design, and risk assessment.
7. Export Control and Trade Compliance
Industrial robots, controllers, parts, software, and technical data may be subject to export control laws, including the U.S. Export Administration Regulations, and to economic sanctions administered by the U.S. Office of Foreign Assets Control and comparable authorities in other jurisdictions.
You agree that you will not export, re-export, transfer, or divert any equipment, part, software, or technical data obtained from Robotco in violation of those laws, and that you are not a person or entity with whom dealings are prohibited under them. We may decline any enquiry, quotation, or order, and may require end use, end user, and destination information, in order to meet these obligations.
8. Manufacturer Names and Trademarks
FANUC and other manufacturer names, model designations, and logos referenced on the Website are the trademarks of their respective owners. We reference them to identify the equipment we buy, sell, repair, and service. Any description of Robotco's relationship with a manufacturer is stated expressly on the relevant page of the Website and should not be inferred from the use of a trademark alone.
9. Our Content
The Website and its contents, including text, layout, graphics, photographs taken by us, logos, and the compilation of equipment listings, are owned by Robotco or its licensors and are protected by copyright, trademark, and other laws.
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Website, and to print or download extracts, for your own internal business purposes in evaluating a transaction with us. All other rights are reserved. You may not reproduce, republish, distribute, or exploit any part of the Website commercially without our prior written consent.
10. Acceptable Use
You agree not to:
- Use the Website in any way that breaches applicable law, or for any fraudulent or unlawful purpose
- Scrape, harvest, crawl, index, or systematically extract data from the Website, other than by a search engine operating under our robots file
- Use the Website to compile a competing listing, price, or contact database
- Submit false, misleading, or another party's information, including through any form on the Website
- Transmit any malware, or attempt to gain unauthorised access to, interfere with, damage, or disrupt the Website, its servers, or any connected systems
- Circumvent, disable, or otherwise interfere with security related features, rate limits, or access controls
- Use any automated system to send enquiries, or send unsolicited commercial messages through any form on the Website
We may suspend or terminate your access to the Website at any time, without notice, for conduct we reasonably believe breaches these Terms.
11. Information You Submit
You are responsible for the accuracy of the information, photographs, and files you submit to us, and you represent that you have the right to provide them.
Except for personal information, which we handle in accordance with our Privacy Policy, any information you submit through the Website is treated as non-confidential. You grant Robotco a non-exclusive, worldwide, royalty free licence to use, store, reproduce, and adapt that information for the purpose of responding to your enquiry, preparing a quotation, performing services, and keeping records of the transaction.
If you require confidentiality, please tell us before sending information and we will arrange a written confidentiality agreement.
12. Third-Party Links
The Website may contain links to third-party sites and resources. We provide them for convenience only. We do not control them, we do not endorse them, and we are not responsible for their content, products, or practices. Your use of a third-party site is at your own risk and subject to that site's terms.
13. Disclaimer of Warranties
The Website and all content on it are provided on an "as is" and "as available" basis, without warranty of any kind. To the fullest extent permitted by law, Robotco disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Website will be uninterrupted, secure, error free, or free of harmful components.
This section applies to your use of the Website. It does not limit any written warranty given in the terms and conditions of sale for equipment or services you purchase from us.
14. Limitation of Liability
To the fullest extent permitted by law, Robotco and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or in connection with your use of, or inability to use, the Website, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of Robotco arising out of or relating to the Website will not exceed one hundred U.S. dollars (USD 100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms excludes liability for fraud or for any other liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Robotco and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to your breach of these Terms or your misuse of the Website.
16. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or to the Website are governed by the laws of the State of Ohio, without regard to its conflict of laws rules. You agree that the state and federal courts located in Ohio have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.
Any cause of action arising out of or relating to the Website must be commenced within one year after the cause of action accrues, or it is permanently barred, except where a longer period is required by law.
17. General
If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms, together with our Privacy Policy and any applicable terms and conditions of sale, are the entire agreement between you and Robotco regarding the Website, and supersede any prior understanding on that subject.
